Terms of Service

Last updated July 31, 2026

These terms govern your use of TradeLayout's website and app. By creating an account, you agree to them. If you're using TradeLayout on behalf of a company or client, you're confirming you have authority to accept these terms for them too.

What TradeLayout is

TradeLayout is a visual programming tool for designing trading strategies, testing them against historical market data, and — if you choose to connect a broker and enable live execution — placing real orders through that broker on your behalf, exactly as your strategy logic specifies. We provide the tooling; you design and are responsible for the strategies you build and run.

Trading risk

Trading in equities, futures, and options carries real financial risk, including the risk of losing your entire invested capital. Backtest results are based on historical data and do not guarantee future performance — market conditions, liquidity, and execution behavior in live trading can differ materially from a backtest. You are solely responsible for the strategies you configure, the risk parameters you set, and any order placed through your connected broker account, whether placed manually or by an automated strategy you enabled. TradeLayout does not provide investment advice and does not guarantee any trading outcome.

Your broker relationship

Your brokerage account, margin, order execution, and settlement are governed entirely by your agreement with your broker (Zerodha, Angel One, Upstox, 5paisa, Alice Blue, Dhan, Fyers, IIFL, or any other supported broker). TradeLayout connects to your broker's API on your instruction; we are not a broker, do not hold client funds, and are not a party to your brokerage agreement.

Your account

You're responsible for keeping your login credentials secure and for all activity under your account. Tell us immediately if you suspect unauthorized access.

Subscriptions and payment

Paid plans are billed in advance through Razorpay, in the cycle (monthly or yearly) you select at checkout. Prices are shown inclusive of applicable GST at checkout. You can cancel a subscription at any time from your account settings; cancelling stops future billing.

No refunds. All payments made to TradeLayout — including subscription fees, launch or promotional offers, add-ons, and top-ups — are final and non-refundable, in full or in part, once received. This applies regardless of usage, including if you cancel mid-cycle, stop using the service, experience trading losses, or your strategies do not perform as expected. Because TradeLayout is software that runs on machines and third-party infrastructure (market data feeds, broker APIs, cloud providers), occasional outages, delays, or errors can occur; we commit to resolving genuine issues as quickly as possible, but service interruptions or trading losses do not entitle you to a refund. Where a refund is mandatory under applicable law, we will of course comply with the law.

Acceptable use

Don't use TradeLayout to violate securities law or exchange regulations, to attempt unauthorized access to another user's account or broker connection, or to disrupt the service for other users. We may suspend or terminate accounts that do.

Service availability

We aim for reliable uptime but don't guarantee uninterrupted service. Market data feeds, broker APIs, and third-party infrastructure we depend on can fail or be delayed for reasons outside our control; we're not liable for losses arising from such interruptions.

Limitation of liability

To the maximum extent permitted by law, TradeLayout's total liability for any claim arising from your use of the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for trading losses, lost profits, or indirect or consequential damages.

Changes to these terms

We may update these terms as the product evolves. We'll update the date at the top of this page, and for material changes we'll notify you by email before they take effect.
