Risk Disclaimer
Last updated September 6, 2026
Trading in securities, futures, and options involves substantial risk of loss. TradeLayout is a software tool that executes instructions you define. It is not a registered investment advisor, portfolio manager, or broker. Past performance — including backtest results — does not indicate, and is not a guarantee of, future results. You are solely responsible for the strategies you build and every order placed on your behalf.
1. TradeLayout is a tool, not advice
TradeLayout provides a visual programming platform for designing, testing, and running trading strategies. Nothing on this platform — strategies, templates, examples, backtest output, charts, documentation, support messages, or communications — constitutes investment, trading, or financial advice, or a recommendation or solicitation to buy, sell, or hold any security or to enter into any transaction. TradeLayout is not registered with SEBI as an investment adviser, research analyst, or portfolio manager, and is not a stockbroker. You should consult a qualified, licensed financial adviser before making any investment decision.
2. Backtests are not predictions
Backtesting applies your strategy logic to historical market data. Historical results are shaped by the data, assumptions, fills, slippage, and fees modelled at the time, and will almost always differ from live results. Markets change, liquidity shifts, and conditions that favoured a strategy historically may not recur. A profitable backtest does not mean a strategy will be profitable, and a strategy that worked before can lose money — including your entire capital — in live trading. Never risk more than you can afford to lose.
3. Software runs on machines, and machines fail
TradeLayout is an automated system. Like any software, it depends on servers, networks, market data feeds, broker APIs, exchanges, and third-party infrastructure that can — and at times will — fail, freeze, lag, drop connections, return incorrect data, or behave unexpectedly. Orders may be delayed, rejected, partially filled, duplicated, or executed at prices different from what you expect due to latency, slippage, circuit limits, or exchange and broker behaviour outside our control. An outage, bug, data error, or unexpected automated action can cause loss, including loss greater than your intended risk, before we are able to detect or stop it. We work to fix issues as fast as we can, but we cannot prevent all of them, and we cannot reverse trades once an exchange or broker has processed them.
4. You are responsible for your strategies
You design, configure, review, and choose to run each strategy. You set the instruments, quantities, risk parameters, and timing. You are responsible for understanding what a strategy does before you enable it live, and for monitoring it while it runs. TradeLayout executes your logic exactly as written — including any errors, edge cases, or unintended behaviour it contains. Do not enable a strategy live that you do not fully understand or cannot afford to see go wrong.
5. Your broker relationship is separate
Your brokerage account, margin, order routing, execution, settlement, and broker risk policies are governed solely by your agreement with your broker (for example Zerodha, Angel One, Upstox, 5paisa, Alice Blue, Dhan, Fyers, or IIFL). TradeLayout connects to your broker's API on your instruction and sends only the orders your strategy generates. We are not a broker, we do not hold your funds or securities, and we are not a party to your brokerage agreement. Broker-side limits, risk management, and outages apply in addition to anything on this platform.
6. No guarantee of availability or accuracy
We aim for reliable service but do not guarantee uninterrupted, error-free, or timely operation. Market data, prices, and corporate-action information may be delayed, incomplete, or incorrect. Scheduled or emergency maintenance, provider outages, or capacity limits may make the platform partly or wholly unavailable at any time, including during market hours. We may change, suspend, or discontinue any feature, instrument, or broker integration without notice.
7. No warranties
The platform is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, reliability, or that the platform will be error-free, uninterrupted, or produce any particular result.
8. Limitation of liability
To the maximum extent permitted by law, neither TradeLayout nor its owners, employees, affiliates, or suppliers shall be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or for any trading losses, lost profits, lost capital, margin shortfalls, or data loss — whether arising from use of, or inability to use, the platform, from software errors, latency, outages, data errors, broker behaviour, or automated actions — even if we have been advised of the possibility of such damages. Our total liability for any claim arising from your use of the service is limited to the amount you paid us in the twelve months preceding the claim.
9. Jurisdiction and regulation
Trading in Indian securities and derivatives is regulated by SEBI and the exchanges. You are responsible for complying with all applicable laws, exchange rules, and your broker's terms, including any position limits, margin requirements, and algonomic-trading or API disclosures. Nothing here limits any rights you may have under mandatory consumer-protection law that cannot be excluded by contract.
10. By using TradeLayout you accept this disclaimer
By creating an account, building or running a strategy, connecting a broker, or placing any order through the platform, you acknowledge that you have read, understood, and accepted this disclaimer and our Terms of Service, and that you bear full responsibility for the outcomes of your use of TradeLayout.
